Terms of Service

These Terms govern your use of wixbusinesspro.com and every service we deliver — design, SEO, copy, development, hosting and ongoing care. Please read them carefully before purchasing.

1. Acceptance of these Terms

By accessing wixbusinesspro.com, requesting a quote, or purchasing any plan, you agree to be bound by these Terms of Service ("Terms") and by our Privacy Policy. These Terms form a binding agreement between you ("Client", "you") and Paulo Miller Medeiros, operating asWix Business Pro ("we", "us", "our").

If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company. If you do not agree, do not use the Website or our services.

2. Definitions

  • Services — design, SEO, copywriting, web development, hosting and care work we deliver.
  • Plan — a defined package or subscription described on our Pricing page.
  • Deliverables — the website, copy, designs, code, or reports we provide under a Plan.
  • Subscription — a recurring billing arrangement (monthly SEO, monthly installments).

3. Our offers & pricing

We currently offer:

  • Website Design plans — sold through 10 scheduled, non-cancellable monthly installments.
  • SEO plans — month-to-month subscriptions, cancellable any time (see §6).
  • Web Design + SEO Combo plans — combine both. The SEO portion follows the SEO cancellation rules, and the Design portion can only be cancelled after all 10 design installments are fully paid.
  • Hosting / care add-ons — billed monthly.

Prices on the Website are in US Dollars unless stated otherwise, and may change at any time. Pricing in effect at the moment of your purchase governs that purchase.

4. Billing & installments

4.1 Payment processing

Payments are processed by Stripe. By purchasing, you authorize Stripe to charge your chosen payment method on the agreed schedule.

4.2 Website Design (10 installments)

When you purchase a Website Design plan, you agree to pay 10 monthly installments. Each installment is due on the same calendar day each month, starting on the date of purchase. All installments are non-refundable once paid, even if you later cancel hosting or related services.

4.3 SEO subscription

SEO plans bill monthly and continue until cancelled. You may cancel for any reason; cancellation takes effect at the end of the current billing cycle and no further SEO work is delivered after that date. Amounts already paid are not refunded for time already billed.

4.4 Failed payments

If a payment fails, we will attempt to recharge and notify you. If a payment remains unpaid for 14 days, we may suspend Services and remove the website from hosting. Reactivation may incur a fee.

4.5 Taxes

You are responsible for any sales tax, GST/HST, VAT, or other taxes that apply in your jurisdiction unless we are legally required to collect them.

5. Hosting & domains

Our Plans do not include hosting or domain registration unless explicitly stated. We will:

  • Help you select and purchase the appropriate Wix hosting plan and domain through Wix; or
  • Help you transfer an existing domain or hosting account to your Wix account.

Hosting and domain fees are paid directly to Wix (or your current registrar) and remain your responsibility. We are not liable for service interruptions caused by Wix, your registrar, or any third-party provider.

6. Cancellation policy

6.1 SEO subscription (standalone)

  • You may cancel your SEO subscription at any time if you are subscribed only to the SEO plan.
  • Cancellation takes effect at the end of the current billing cycle.
  • No further SEO work will be performed beyond that date.
  • No refunds will be issued for time already billed.

6.2 Website Design installment plan

  • Website Design plans are structured as installment-based payments.
  • They cannot be cancelled mid-term. You are responsible for completing all 10 installments.
  • If you choose to stop the Service before all installments are completed, your current website will be taken offline or replaced with your previously existing version (if available).
  • Payments already made are non-refundable.

6.3 Web Design + SEO Combo plan

  • This plan includes both website design and ongoing SEO.
  • It follows the same rules as the Website Design installment plan.
  • The SEO portion can only be cancelled once the Website Design installments are fully paid.

6.4 Satisfaction-based cancellation (after 3 months)

We are confident in the quality of our work. If after 3 months of an active Web Design or Web Design + SEO Combo plan you are genuinely not satisfied, you may request cancellation. In that case:

  • No further payments will be required, and there is no cancellation fee.
  • However, the website we created will not be retained. We will instead transfer your hosting and domain to a simple template website of your choice.
  • All payments made up to the point of cancellation remain non-refundable.

We are committed to clear communication and full support throughout your experience with us — including transitions. If you have any questions, we are here to help.

7. Your responsibilities

  • Provide accurate brand assets, content, access credentials, and feedback in a timely manner.
  • Respond to revision requests within the agreed window. Projects paused by your delays may be re-quoted.
  • Maintain ownership of, and pay for, your hosting and domain.
  • Comply with all laws applicable to your business and content.
  • Keep your account credentials secure.

8. Intellectual property

All text, graphics, logos, code, trademarks, and other materials on the Website are the intellectual property ofWix Business Pro or its licensors and are protected by Canadian and international copyright laws.

For client deliverables: upon full payment of all amounts due, you receive a perpetual license to use the final delivered website for your business. We retain the right to display the work in our portfolio and case studies unless you request otherwise in writing. Underlying tools, frameworks, templates, and pre-existing components remain our property.

DMCA / copyright notices: if you believe content on the Website infringes your copyright, send a written notice titled "Infringement of Intellectual Property Rights — DMCA" to info@dareadesign.com including: (a) a description of the work, (b) the URL where it appears, (c) your name, address, phone, and email, (d) a statement of good-faith belief that the disputed use is not authorised, and (e) a statement, under penalty of perjury, that the information is accurate and that you are the copyright owner or authorised to act on the owner's behalf.

9. Prohibited use

You may use the Website only for lawful purposes. You agree not to:

  1. Impersonate or attempt to impersonate Wix Business Pro, our team, or any of our representatives, subsidiaries, or affiliates.
  2. Misrepresent your identity or affiliation with any person or entity.
  3. Send unsolicited advertising or promotional material, including spam, junk mail, chain letters, or similar solicitations.
  4. Interfere with, restrict, or diminish any other user's enjoyment of the Website, or otherwise disrupt the normal flow of interaction on the site.
  5. Publish, upload, or distribute any libellous, defamatory, obscene, pornographic, abusive, or otherwise unlawful content.
  6. Use the Website or its content beyond the scope expressly permitted in these Terms, including scraping, monitoring, or copying material without our prior written consent.
  7. Copy, modify, create derivative works from, reverse-engineer, decompile, or disassemble any part of the Website's software or source code.
  8. Gain — or attempt to gain — unauthorized access to any part of the Website, servers, networks, databases, or other systems.
  9. Introduce viruses, Trojan horses, worms, logic bombs, or any other malicious or technologically harmful material.
  10. Launch a denial-of-service or distributed denial-of-service attack against the Website.
  11. Otherwise interfere with the proper working of the Website.
  12. Use the Website in any way that violates applicable municipal, provincial, federal, or international laws.

10. Limited warranty & no general warranty

While your subscription with Wix Business Pro is active, we warrant that we will:

  • Maintain your existing site's hosted files and core functionality;
  • Apply platform updates and reasonable security patches in a timely manner; and
  • Provide technical support, minor design tweaks, and content edits consistent with the service level of your plan.

Important: this warranty covers the website we originally built for you. It does not include the design or development of an entirely new website, the creation of additional standalone sites, or major redesign projects — those require a separate agreement and fee.

If we fail to deliver any of the covered services and you notify us in writing, our sole obligation is to correct the issue within a commercially reasonable time or, if correction is not feasible, to issue an appropriate service credit for the affected period.

EXCEPT AS EXPRESSLY STATED ABOVE, THE WEBSITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE SPECIFIC SEO RANKINGS, TRAFFIC, CONVERSIONS, REVENUE, OR BUSINESS OUTCOMES.

11. Limitation of liability

IN NO EVENT SHALL WIX BUSINESS PRO, ITS OWNER, EMPLOYEES, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY — ARISING OUT OF OR RELATED TO YOUR USE OF THE WEBSITE OR OUR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES YOU HAVE ACTUALLY PAID TO US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRIOR TO THE CLAIM.

12. Indemnity

You agree to indemnify, defend and hold harmless Wix Business Pro and its owner from and against any claims, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to: (a) content you provide to us, (b) your use of the Services in violation of these Terms or any law, or (c) your infringement of any third-party right.

13. Links to third-party websites

The Website may contain links to third-party sites provided solely for your convenience. We do not endorse, control, or assume responsibility for the content, privacy policies, or practices of any third-party websites. Accessing such sites is entirely at your own risk.

14. Termination

We may suspend or terminate your access to the Website or Services, with or without notice, if you breach these Terms, fail to pay amounts due, or use the Services in a way we reasonably consider harmful or unlawful. Sections that by their nature should survive termination (IP, liability, indemnity, governing law) will survive.

15. Governing law, severability & dispute resolution

Choice of law

These Terms — and any dispute or claim arising out of or in connection with them — are governed by:

  • For Clients located in Canada: the laws of the Province of Ontario and the federal laws of Canada applicable therein;
  • For Clients located in the United States: the laws of the State of New York and the federal laws of the United States applicable therein.

In each case without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Dispute resolution & venue

Before starting formal proceedings, you and Wix Business Pro agree to make a good-faith effort to resolve any dispute through informal negotiation, giving the other party at least 30 days' written notice.

If we cannot resolve the matter informally:

  • Canadian Clients agree that any action or proceeding shall be brought exclusively in the courts of Simcoe County, Ontario (or, if arbitration is required by law, under the ADR Institute of Canada rules with the seat in Barrie, Ontario).
  • U.S. Clients agree that any action or proceeding shall be brought exclusively in the state or federal courts of New York County, New York (or, if arbitration is required by law, under the American Arbitration Association's Commercial Arbitration Rules with the seat in New York, New York).

You and we waive any defences of lack of personal jurisdiction or inconvenient forum in the designated venues.

16. Changes to these Terms

We may modify these Terms at any time. When we do, the "Last updated" date at the top of this page will change. Material changes will be highlighted on the Website. Your continued use of the Website or Services after the revised Terms are posted constitutes acceptance of the changes.
